Areas of Practice

i. ii. Review of international agreements for donor funding, especially with the Kenya Medical Research Institute (KEMRI);

Formation and incorporation of companies, business entities, SACCOs, foundations, trusts, joint ventures and NGOs, rendering advice as to the choice of suitable business entity, advising on capitalization and directorship; advising on related aspects of labour law, taxation, statutory and other regulatory aspects;

v. Negotiating commercial contracts and drafting a wode range of commercial intruments, including agreements for mergers acquisitions, sale of businesses as a going concern;

vi. Preparatin and perfection of other commercial documents such as leases, licenses, conveyances, transfers and other related documents on property transactions;

Commercial Litigation:- Appearing before all classes of court in Kenya to prosecute and defend cases on behalf of banks, financial institutions, state-owned corporations, individuals etc. as well as other business establishments in wide range of cases with well-established debt collection department which has experience in enforcement of securities, receiverships, liquidation, bankruptcy law and related litigation.

viii. We advise our clients on matters; tax structuring for mergers and acquisitions, corporate reorganizations, income and withholding taces, tax treaty issues, tax and customs audits, international trade and customs issues, value added tax, SMEs tax and real property tax.

CONVEYANCING

Our services include but are not limited to; sub-divisions of land, change of user, conversion of lad to new registration regimes transfer of land, lease, caveats, easements and licenses, charges and discharge of charges, conveyances, power of attorney, legal due diligence, trusts relating to land and wills, consents relating to land, structured and project finance, easements and renewals/extensions of government leases, trade finance and syndicated loans.

EMPLOYMENT LAW

Our services include; general employment law advice, preparation of employment contracts and human resource policies and manuals, advising on employee benefits, reviewing and negotiating collective bargaining agreements (CBA), discrimination and sexual harassment law advice, setting up employee share option plans/schemes, employment litigation e.g. dismissals, redundancies, trade disputes and immigration related matters.

INSURANCE

We review and draft policy documents and related instruments for our clients.

PUBLIC FINANCE & PROCUREMENT

We advise state-owned enterprises on compliance with legal and regulatory regime governing public finance management, as well as public procurement and disposal of assets.

We additionally work with private sector clients to ensure compliance with international and national bidding processes in preparing their submissions.

Our lawyers have been involved in procurement support to both private and public sector clients and have supported in evaluation, negotiation and post procurement contracting and contract implementation reviews.

ARBITRATION & ALTERNATIVE DISPUTE RESOLUTION (ADR).

As a firm, we believe in alternative resolution of disputes due to its advantages compared to court litigation. We have therefore been involved in a fair amount of arbitration, Mediation and Negotiation proceedings and have secured out-of-court settlements on behalf of our clients.

LITIGATION-CIVIL, CRIMINAL

We engage in litigation as a last resort and are keen to promote out-of-cours resolution of issues. However, when such attempts fail and litigation beckons, we are ready.

Backed with competent and experienced lawyers who have appeared in all courts within jurisdiction, the firm engages in both civil and criminal litigation.

We have successfully represented our clients in various matters in several courts, including the Supreme Court of Kenya and the East Africa Court of Justice.

DEBT COLLECTION

The firm has extensive experience in debt collection (for individuals, corporate clients and institutions) arising out of borrowing, contracts and related transactions.
